G4S buys Adesta: "

PALM BEACH GARDENS, Fla.--G4S, a global security solutions group, announced today the acquisition of systems integrator Adesta from McCarthy Group, Inc and a group of senior management employees for a total cash consideration of $66 million. Adesta had revenues of $92 million in 2008.

Adesta, based in Omaha, Neb., provides systems integration and project management services for integrated security systems and communication networks. The company focuses on electronic and physical security solutions, installations and upgrades for seaports, government facilities and other critical infrastructure, along with offering all types of networks for voice, data and video applications. The company provides clients with complete integration services to ensure network compatibility and reliability. Adesta has over 20 years of experience in the deployment of fiber and wireless technologies for public safety communications, ITS applications, physical security and video surveillance, healthcare, education/distance learning and broadband communications networks often used to carry video sensor, access control and other security related data.

In a statement, Keith Whitelock, president, G4S Technology North America, said, "As a leading systems integrator in the design and operation of security systems and command and control centers for Government and Regulated sectors, the Adesta acquisition is an important strategic step to deliver advanced secure solutions combining G4S manpower and technology to US seaports, where Adesta has an impressive market penetration, and extend this to chemical/petrochemical site security and other critical infrastructure."

G4S's capability to deliver advanced technology solutions efficiently to US customers will be materially advanced by the Adesta acquisition and access to Touchcom's OneFacility software (acquired by G4S in 2008) will enhance Adesta's ability to grow its security-related business.

The acquisition will be subject to customary closing conditions and relevant regulatory approvals.
